Lightworks End User Licence Agreement (EULA) 

Important notice about your content and rights

Lightworks is a software tool that may be used to import, edit, encode, publish, and distribute video, audio, images, and other materials. You must only use the Software with materials that you own, or that you are lawfully authorised to use. You are responsible for obtaining any necessary permissions, licences, clearances, and releases for your content and for how you use and distribute it.

 


1. acceptance

By downloading, installing, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.

If you accept this EULA on behalf of a company or other organisation, you confirm you have authority to bind that entity. In that case, "you" means that entity.



2. definitions

  • Consumer: an individual acting for purposes mainly outside their trade, business, craft, or profession.
  • Business Customer: any customer that is not a Consumer.
  • Device: a physical or virtual machine (including a VM or cloud instance) capable of running the Software.
  • Documentation: manuals, help content, and other written and visual materials made available by LWKS for the Software.
  • Lightworks UI: the Software's user interface and user experience elements, including screen layouts, visual design elements, icons, graphics, text, and audiovisual components.
  • Included Content: any LUTs, presets, templates, effects, sample media, or other content files bundled with the Software or made available by LWKS for use with the Software.
  • LWKS Materials: the Software, Lightworks UI, Documentation, Included Content, and any Updates provided by LWKS.
  • Order / Plan: the commercial terms under which you access the Software (including perpetual and subscription options, trials, educational licences, and business plans).
  • Update: any update, patch, enhancement, or new version of the Software provided by LWKS. Whether a major version upgrade requires a new Order/Plan is determined by the terms of your current Order/Plan.

Online Features: any hosted, cloud, or internet-enabled functionality provided by LWKS in connection with the Software (for example, cloud storage, sharing, collaboration, account services, licence verification, downloads, or updates).

 


3. license grant

Subject to your compliance with this EULA and your applicable Order/Plan, LWKS grants you a limited, non-exclusive, non-transferable licence (revocable only in accordance with Section 15) to install and use the Software:

  • (a) on one Device at a time (or one active instance at a time), unless your Order/Plan authorises multiple Devices or concurrent activations; and
  • (b) for your own use (and, for Business Customers, by authorised users within your organisation), in accordance with the Order/Plan.

You may make one copy solely for backup/archival purposes, provided all copyright/proprietary notices are retained.

 


4. accounts, activation, and license compliance

Some features may require an account, licence key, activation, or periodic verification. Where periodic verification is required, the Software will allow a reasonable grace period for temporary loss of connectivity before restricting access. You must keep credentials secure and must not share them outside your organisation except as permitted under your Order/Plan.

You must not attempt to bypass or defeat licensing or activation controls. LWKS may suspend or restrict activation or Online Features where we reasonably believe the Software is being used in breach of this EULA.

 


5. restrictions

Except to the extent permitted by applicable law (see Section 7), you must not (and must not permit others to):

  • (a) use the Software beyond the permitted Devices/activations under your Order/Plan;
  • (b) sell, resell, rent, lease, loan, sublicense, distribute, publish, or make the Software available to any third party (including as a service bureau), except as expressly allowed in your Order/Plan;
  • (c) copy the Software or Documentation except as expressly permitted by this EULA;
  • (d) modify, adapt, translate, or create derivative works of the Software or Documentation;
  • (e) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
  • (f) remove, obscure, or alter any proprietary notices;
  • (g) use the Software unlawfully, to infringe IP rights, or to interfere with the security or integrity of the Software or any Online Features.

 


6. intellectual property

All intellectual property rights in the LWKS Materials (including the Software, Lightworks UI, Documentation, and Included Content) are owned by LWKS or its licensors. Nothing in this EULA transfers any ownership to you. The LWKS Materials are licensed, not sold. 

 


7. statutory rights (uk/eu)

Nothing in this EULA limits rights you may have under applicable law that cannot be excluded.

Where applicable law permits limited reverse engineering or decompilation for interoperability or other mandatory rights, you may do so only to the minimum extent permitted by law.

 


8. lightworks ui; no imitation; no ai/ml training (express written permission required)

The Lightworks UI forms part of the LWKS Materials.

Except as expressly authorised in writing by LWKS (or its successor/assignee), you must not, and must not permit any third party to:

  • (a) copy, reproduce, systematically scrape, extract, or create derivative works from the Lightworks UI, except as reasonably necessary for permitted use, support, review, education, or other lawful incidental purposes;
  • (b) design, develop, distribute, or provide any software, service, interface, or product that reproduces or is substantially similar to the visual expression of the Lightworks UI (or any material portion of it), including specific layouts, graphics, or design elements, where such reproduction is for commercial purposes or to develop a competing product; or
  • (c) in a systematic, automated, or large-scale manner, scrape, extract, or collect the Software, the Lightworks UI, screenshots/screen recordings, telemetry, logs, Documentation, or other materials derived from the Software or made available by LWKS for the primary purpose of training, fine-tuning, validating, benchmarking, or otherwise developing or improving any machine learning or AI model (including LLMs), or to create or contribute to any dataset for such purposes.

For the avoidance of doubt, Section 8(c) does not prohibit individual, incidental use of screenshots or Documentation in reviews, support requests, educational materials, or personal workflow automation, provided such use does not involve systematic or programmatic collection.

Any breach of this Section 8 is a material breach and may result in immediate termination under Section 15.

 


9. included content (luts, presets, templates, etc)

LWKS may provide Included Content for use with the Software. Unless LWKS states otherwise in writing:

  • (a) You may use Included Content royalty-free as part of your own original projects created using the Software (including projects you publish or distribute).
  • (b) You must not sell, license, distribute, publish, or make available the Included Content on a standalone basis, or in a way that allows others to extract it as LUTs, presets, templates, or similar reusable assets. Included Content may be embedded in a larger work (such as an exported video), provided that such embedding does not allow extraction of the Included Content in its original reusable form.
  • (c) You must not package the Included Content (in whole or in part) as a competing library, preset pack, LUT pack, template pack, or stock/asset product, whether commercial or free.
  • (d) Included Content remains part of the LWKS Materials and is licensed, not sold.



10. online features; acceptable use; thirds-party services and materials

The Software may support or enable Online Features now or in the future (including LWKS-hosted cloud storage and sharing). Use of Online Features may require internet access and an account, may be subject to additional technical requirements, and may be governed by additional terms presented at the time of use (for example, service-specific terms, usage limits, storage limits, or fair-use policies). Any additional terms for Online Features will be presented before you first use those features and will apply only to the relevant Online Features. Such terms will not reduce any non-excludable rights you have under applicable law.

Acceptable use for Online Features. You must not misuse Online Features. In particular, you must not (and must not permit others to): (a) upload, share, or transmit unlawful content; (b) upload or transmit malware or other harmful code; (c) attempt to gain unauthorised access to accounts, systems, or networks; (d) interfere with or disrupt Online Features or their security; or (e) use Online Features in a way intended to avoid usage limits, impose unreasonable load, or otherwise abuse the service.

Third-Party Services. The Software may also display, link to, or integrate with third-party services, plugins, websites, or materials ("Third-Party Services"). Third-Party Services are provided for convenience. LWKS does not control Third-Party Services and is not responsible for their content, availability, accuracy, legality, or security. Your use of Third-Party Services may be subject to the third party's own terms and policies.

LWKS does not guarantee the availability, uptime, or continuity of Online Features. LWKS may change, suspend, or discontinue Online Features (in whole or in part). Where you are a Consumer, this does not affect your statutory rights.

 


11. online features data availability and retention

Where Online Features allow you to upload, store, or share content, you are responsible for keeping your own backups. LWKS does not guarantee that uploaded content will be retained indefinitely.

Following account closure or suspension, LWKS will ordinarily make uploaded content available for retrieval for up to 30 days, after which it may be deleted.

LWKS may remove or restrict access to uploaded content where required by law, where reasonably necessary for security or service integrity, or where your account is closed or suspended (including for breach). Where reasonably practicable, we will provide advance notice before removing access to content, except where we cannot (for example, for legal, security, or abuse reasons).

 


12. third-party software, open source; license credits

The Software includes third-party components subject to separate licence terms. Notices and licence information are provided here:

If there is a conflict between this EULA and third-party licence terms for a component, the third-party terms govern for that component.

 


13. analytics (opt-in) and privacy

If and when the Software offers analytics or usage data collection, it will be off by default and will be collected only if you explicitly opt in via the installation step or in-product settings (as presented to you). If you do not opt in, LWKS will not collect analytics from the Software.

If you opt in, LWKS may collect and use diagnostic, technical, and usage information (which may include device/software configuration details and feature usage patterns) to help provide, maintain, support, and improve the Software, and to help detect misuse and improve reliability and security. Where practical, LWKS will use analytics in an aggregated and/or de-identified form.

14. corporate transactions

14.1 Corporate transactions and data. LWKS may disclose and transfer information (including personal data) and assign its rights/obligations under this EULA:

  • (a) to affiliates and service providers; and/or
  • (b) to advisers and a prospective buyer (and their advisers), and to a successor owner/assignee,

in connection with a financing, merger, acquisition, reorganisation, sale of assets, or other corporate transaction, subject to appropriate safeguards and as described in our Privacy Policy.14.2 Assignment. You may not assign or transfer this EULA without LWKS's prior written consent. LWKS may assign or transfer this EULA (in whole or in part) to an affiliate or successor, including in connection with a corporate transaction. 

 


15. terms and termination

This EULA is effective when you accept it (including by use) and continues until terminated.

You may terminate at any time by ceasing all use and uninstalling/destroying all copies of the Software in your possession or control.

If you are a Consumer purchasing digital content, you acknowledge that by requesting immediate access to the Software (for example, by downloading or activating a licence key), you consent to the supply of digital content before the end of any applicable cancellation period and you acknowledge that you lose your right to cancel once the digital content has been delivered or activated. This does not affect your statutory rights if the digital content is faulty.

LWKS may terminate or suspend this EULA (or your access to the Software/Online Features) immediately if you materially breach this EULA (including Sections 8, 9, or 10), if you fail to remedy a non-material breach within 30 days of notice, or if required by law.

If LWKS discontinues the Software or Online Features, LWKS may terminate access to Online Features, stop providing Updates and support, and (for subscription plans) terminate the subscription with a pro-rata refund of any prepaid fees covering the period after termination. However, if you hold a perpetual licence for offline use, discontinuation alone does not terminate your right to continue using the Software on one Device at a time in accordance with Section 3 and your Order/Plan, subject to your continued compliance with this EULA.

On termination, you must stop using the Software and uninstall/destroy all copies. Sections 5, 6, 8, 9, 11, 12, 18, 19, 20, 21, 22, 23, and 24 survive termination.

 


16. update and changes

LWKS may provide Updates. Updates may modify or remove features. Online Features may change, be suspended, or be discontinued.

Where you are a Consumer, LWKS will not remove core functionality that you have paid for without a valid operational, legal, security, or technical reason. Your statutory rights (especially as a Consumer) are not affected.

 


17. safety-critical uses

The Software is not designed, manufactured, or intended for use in environments where failure, delay, interruption, or errors could directly lead to death or serious personal injury (for example: medical life-support systems, air traffic control, aircraft navigation/communications, nuclear facilities, or weapons systems). You agree not to use the Software for such purposes.



18. warrenty disclaimers

To the maximum extent permitted by law, the Software and Online Features are provided "as is" and "as available." LWKS disclaims all warranties/conditions, express or implied, including satisfactory quality, fitness for a particular purpose, and non-infringement.

Nothing in this section affects any non-excludable rights of Consumers under applicable consumer protection laws, including rights relating to digital content being of satisfactory quality, fit for purpose, and as described.

No oral or written information or advice given by LWKS (including by support) creates any warranty or expands LWKS's obligations beyond those expressly stated in this EULA.



19. limitation of liability

Nothing in this EULA excludes or limits liability for:

  • (a) death or personal injury caused by negligence;
  • (b) fraud or fraudulent misrepresentation; or
  • (c) any other liability that cannot be excluded/limited under applicable law.

Consumers: nothing in this EULA limits your statutory rights.

Business Customers: to the maximum extent permitted by law:

  • (a) LWKS will not be liable for loss of profits, revenue, goodwill, anticipated savings, business opportunity, or for indirect or consequential loss; and
  • (b) LWKS's total aggregate liability arising out of or in connection with the Software, Online Features, or this EULA (whether in contract, tort (including negligence), misrepresentation, or otherwise) will not exceed the amount you paid to LWKS for the Software in the 12 months immediately preceding the event giving rise to the claim (or, if you paid nothing, GBP 500).

 


20. indemnification

You agree to indemnify and hold harmless LWKS, its affiliates, officers, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of this EULA; (b) your content or materials; or (c) your use of the Software in violation of applicable law or third-party rights. Any indemnity obligation under this Section is subject to the liability limits set out in Section 19. This Section does not apply to Consumers except to the extent permitted by applicable law. 



21. force majeure

LWKS will not be liable for any delay or failure to provide the Software, Online Features, or any obligations under this EULA caused by events beyond its reasonable control, including (without limitation) acts of God, fire, flood, pandemic, war, terrorism, strikes, government action, cyberattacks, supply chain failures, power or internet failures, or third-party service outages. 



22. export controls and sanctions

You must comply with applicable export controls and sanctions laws (including UK, EU, and US sanctions regimes) and must not export or re-export the Software where prohibited.

 


23. entire agreement; severability; no waiver; no third-party beneficiaries

This EULA (together with your Order/Plan terms and the Privacy Policy) is the entire agreement regarding the Software and supersedes prior agreements on that subject.

If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder will remain in effect. Failure to enforce a provision is not a waiver.

Nothing in this EULA confers any rights or benefits on any third party, except (a) LWKS's affiliates and successors as described in Section 14, and (b) third-party licensors in respect of their applicable licence terms under Section 12.



24. governing law and durisdiction

This EULA is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that Consumers may also bring claims in their country of residence where mandatory law allows.
